Welcome to the world of SuperApp and the SuperX ecosystem! We understand that reading the Terms of Service may seem tedious, but it’s important to clarify what you can expect from us when using the services of SuperApp and the SuperX ecosystem, as well as what we expect from you.

Purpose

These Terms establish the rights, duties, responsibilities, and procedures related to the use of the services offered by MIBC Inc. ("SuperApp" or "we") and its related services. These Terms represent a legally binding contract between us and users who access our services and agree to use SuperApp in accordance with them ("User" or "you"). We encourage you to read them carefully and take the necessary time to fully understand them.

Relationship Between You and SuperApp

These Terms help define the relationship between you and us. In these Terms, "SuperApp" or "we" refers to MIBC Inc., including its affiliates and subsidiaries. By accepting these Terms, SuperApp grants you authorization to access and use the SuperX platform and all related services we provide, including SuperApp services accessible via mobile devices, tablets, PCs, and any other network-connected devices.

Acceptance of Terms

These Terms take effect once you accept them and submit a service usage request, which we approve. By accessing and using our services, you are also required to comply with our "Community Guidelines and Policies." You can review these Terms directly on this platform or in mobile app stores where the platform is available for download; these Terms are also incorporated herein by reference.

Users in each jurisdiction where additional terms apply agree to those terms and submit a service usage request, which we approve, with legal effect. If you access or use the service in a specific jurisdiction, the additional terms specific to that jurisdiction will prevail in case of conflict with other provisions of these Terms. If you do not agree to these Terms, you must not access or use our service. By using our services, you also accept the terms of our "Privacy Policy."

If you access or use the service on behalf of a business or organization, (a) "you" will include that business or organization; (b) you represent and warrant that you have the authority to bind the business or organization to these Terms as an authorized representative and accept these Terms on its behalf; and (c) your business or organization is legally and financially responsible for your access and use of the service, as well as for any other individuals associated with you, such as employees, agents, or contractors, who access or use the service through your account.

You understand and agree that your future access and use of the service will be considered acceptance of these Terms.

You may print or save a copy of these Terms for your records.

Publication and Modification of Terms

We may modify these Terms periodically, for example, to update service features, integrate our apps or services into a unified platform or app, or in response to regulatory changes. In the event of substantial modifications to the Terms, we will make commercially reasonable efforts to notify all users through platform announcements. However, it is your responsibility to periodically review the Terms for any updates. The "Last Updated" date at the top of these Terms will reflect the effective date of any modifications. By accessing or using the service after these modifications, you accept the updated Terms. If you do not agree to the new Terms, please discontinue accessing or using the service. Account

To access or use some of our services, you need to create an account. When creating an account, you must provide accurate and up-to-date information. It is important to keep your details and other information current to ensure the completeness of your account data.

If you meet the age requirement (14 years or older), you may create a unified SuperX account at any time for convenience. Some services require a unified SuperX account to be used. You are responsible for securing your SuperX account and taking reasonable measures to ensure its safety.

You must keep your account password confidential and not disclose it to third parties. If a third party gains access to your password or if you become aware of or suspect unauthorized access to your account, you must immediately inform support@super-app.app.

You agree to be fully responsible for any activities that occur through your account (except in cases where such activities result from fraud or gross negligence on our part).

We reserve the right to suspend your account if we reasonably believe that you have violated these Terms, that your account activities may cause harm or damage to our services, infringe on the rights of third parties, or violate applicable laws or regulations.

If you wish to discontinue the service and delete your account, we can assist you in this process. Contact us at support@super-app.app, and we will provide assistance and related instructions. Once deleted, the account cannot be reactivated, and no information associated with your account can be used for recovery.

You may also create an account without a password using options such as "Continue with Google" or "Continue with Apple."

The use of multiple accounts by a single user is prohibited. Each user is permitted to have only one account.

Formation of the Service Agreement

The service agreement is concluded when a person who wishes to become a user (hereinafter referred to as the "Applicant") accepts the Terms and submits a registration request, which we approve. In some cases, we may require identity verification and authentication through a certification agency.

The Applicant must provide truthful information at the time of registration, and any damages or legal liabilities arising from false information will be the responsibility of the Applicant.

Use of the service is permitted only for individuals aged 14 years or older.

We may refuse acceptance if the Applicant has previously lost user status, used a false name or another person's name, or if there are other reasons that prevent acceptance.

We may suspend acceptance for technical, operational, or other business-related reasons and will inform the Applicant of the outcome.

Access and Use of the Service

You must access and use the service in accordance with these Terms, applicable laws, and regulations. The following actions are not permitted:

  • Accessing or using the service without the legal capacity to accept the Terms.

  • Copying, modifying, adapting, translating, reverse engineering, disassembling, decompiling, or creating derivative works based on the service, including files, tables, and documents, or attempting to discover or extract source code, algorithms, technologies, or methods used on the platform.

  • Distributing, licensing, transferring, or selling the service or derivative works, in whole or in part.

  • Selling, renting, or leasing the service for payment or using it for advertising or promotional purposes without written authorization.

  • Using the service for commercial purposes or spam without written consent.

  • Interfering with or attempting to interfere with the normal operation of the service, disrupting networks connected to our site, or bypassing measures to restrict access.

  • Integrating the platform into other programs or products. In such cases, we reserve the right to deny service, delete accounts, or limit access.

  • Using automated scripts to collect information or interact with the service.

  • Impersonating another person or organization, falsely stating or misrepresenting your relationship with others, or making it appear that your content originates from the service.

  • Threatening, harassing, or promoting obscene, violent, or discriminatory material based on gender, religion, nationality, disability, sexual orientation, or age.

  • Using or attempting to use another person's account, service, or system without authorization or creating a false identity.

  • Exchanging or soliciting false reviews, creating conflicts of interest, or using the service for unintended purposes.

Prohibited Content

You may not upload, transmit, distribute, or make available through the service any of the following content:

  • Files containing viruses, trojans, worms, or other harmful or dangerous materials.

  • Unsolicited advertisements or solicitations, promotional materials or spam, junk mail, chain letters, or other unauthorized requests.

  • Third-party personal information, such as addresses, phone numbers, identification documents, or credit card numbers.

  • Content that infringes or may infringe copyright, trademarks, intellectual property rights, or privacy rights of third parties.

  • Defamatory, obscene, offensive, pornographic, or hate-inciting material.

  • Material that promotes crimes, dangerous behaviors, or self-harm.

  • Content designed to harass, scare, harm, upset, or disturb others.

  • Threats of physical violence or other forms of threats.

  • Racist or discriminatory material based on race, religion, age, gender, disability, or sexual orientation.

  • Unqualified or unlicensed advice, responses, or opinions.

  • Any material deemed inappropriate or harmful to the service and its users or that exposes the service or its users to harm or liability.

In addition to the above, your access and use of the service must always comply with the "Community Guidelines."

We reserve the right, at our reasonable discretion and without notice, to remove or block access to content if deemed necessary. Reasons for removal or blocking access may include inappropriate content, violations of these Terms or the "Community Guidelines," or content we consider harmful to the service or its users. Our automated systems may analyze your content (including emails) to provide personalized features, such as tailored ads, or to detect spam or malware. Such analysis occurs at the time of transmission, receipt, and storage of content.

If you submit suggestions or feedback to improve the service, we may act on them.

Intellectual Property

We respect intellectual property rights and expect you to do the same. By accessing and using the service, you agree not to infringe any intellectual property rights. We reserve the right, at our discretion and with or without notice, to limit access or remove any account that violates or is subject to claims of copyright or other intellectual property violations. If you believe someone is infringing your intellectual property rights, you may report it to support@super-app.app for appropriate action. For instance, we may suspend or terminate the unified SuperX account of repeat copyright infringers.

SuperApp Content

Some of our services include proprietary content, such as images displayed within the community. You may use our content according to these Terms and any additional service-specific conditions, but all intellectual property rights in our content remain ours. You may not remove, cover, or modify any trademarks, logos, or legal notices from our content. Our business model, patents, and all intellectual property rights related to the services, copyrights, trademarks, and associated logos are our exclusive property. You may not reproduce, transmit, publish, distribute, or use for profit any information obtained through the service, nor allow third parties to do so without our permission. Violating this provision may result in legal proceedings and claims for damages.

We are committed to promptly removing from the service any materials that infringe our rights. It is our policy to disable or terminate the accounts of users who repeatedly infringe copyright or third-party intellectual property rights, at our discretion and where appropriate.

If a third party claims that content uploaded or published on the service infringes their intellectual property or privacy rights, we have the right to disclose your identity to them.

We, or authorized third parties, may edit or modify your content and refuse to publish it. We reserve the right to remove, block, or delete any content that, in our opinion, does not comply with the content standards defined in the "Access and Use of the Service" section. Additionally, at our discretion, we may, with or without notice and without obligation of liability, remove, block, or delete user content (i) that we believe violates these Terms or (ii) in response to complaints from other users or third parties.

We recommend that you save a copy of your user content on your personal devices if you wish to retain it permanently. We do not guarantee the accuracy, completeness, adequacy, or quality of user content and disclaim all liability in any circumstances regarding such content.

Modification of User Information

Users can view and modify their personal information through the "Personal Information" section of the service. However, for certain information requiring periodic updates, we will provide a process allowing the system to make such changes.

If there is a change in the information provided at the time of registration, the user must immediately update the data or notify the service. We will not be responsible for any disadvantages resulting from failure to update or notify such changes.

Service Content

Users can access various features and benefits through SuperX, depending on their device. Details are provided via the platform usage guide, instructions, or communications.

In general, the services provided include:

  • Advertising: Delivery of advertising videos, images, etc., provided by our partners.

  • Free Benefits: Various benefits obtained through user activities on the platform.

We offer a customer support service, and users can contact us for more details about the service. We may send service-related information via email, mobile phone, or other means. Through a registered account, users can integrate SuperApp with other connected platform services.

Provision of Free Benefits

Users can obtain various free benefits through the methods described within the service, in the usage guide, and in notifications. These benefits may be expanded at any time, without requiring consent, alongside new features and connected SuperX services. If a user attempts to obtain benefits improperly or without authorization, all related services and rights may be revoked.

Apple is not a sponsor of SuperApp.

Correction, Cancellation, and Revocation of Free Benefits

If you believe there was an error in the provision of free benefits, you may request a correction within 30 days from the date of the error. Once the validity of the request is verified, we will proceed with the correction within 30 days from the request date.

Although we strive to maintain security and system integrity, if free benefits are obtained or attempted to be obtained through fraudulent or non-compliant means, we may partially or fully revoke such benefits. Additionally, we may implement measures such as account review, feature limitations, temporary or permanent suspension, or access revocation, without prior notice.

If financial issues affecting advertisers (such as bankruptcy, dissolution, or insolvency) prevent payment for advertisements, we may cancel or withdraw the benefits linked to such ads. The responsibility in these cases lies with the advertiser, but we may partially compensate for revoked benefits within the scope of our operational capabilities.

In Case of Issues or Disputes

For any matters not covered by these Terms or for interpretations, relevant laws and customs will apply.

We may establish separate Terms or policies ("Additional Terms") for individual or additional services related to SuperApp. In case of conflict between these Terms and the Additional Terms, the Additional Terms will prevail.


Liability

For All Users

Laws and these Terms aim to balance responsibilities in case of disputes, limiting what you or we can claim from each other. Some liabilities cannot be legally limited, while others may be restricted as permitted by these Terms.

These Terms limit our liability to the extent allowed by law. However, these Terms do not limit our liability for:

  • Fraud or false statements

  • Death or personal injury caused by negligence

  • Gross negligence

  • Willful misconduct

In addition to the liabilities mentioned above, we are responsible for any violations of these Terms or the Additional Terms related to the services, in accordance with applicable laws.

You agree to defend, indemnify, and hold harmless us, our parent company, subsidiaries, affiliates, and respective officers, employees, agents, and advisors from any claims, liabilities, costs, and expenses (including legal fees) arising from violations of these Terms, your representations and warranties, or the use of your account.

For Business Users and Organizations

For business users and organizations, the following conditions apply:

To the extent permitted by law, you agree to indemnify us, our directors, officers, employees, and contractors from any legal proceedings brought by third parties (including government actions) arising from your unauthorized use of the service or violation of these Terms or Additional Terms, except in cases of breach, negligence, or willful misconduct on our part. This indemnification covers all liabilities and expenses, including claims, losses, damages, penalties, and legal fees.

If you are legally exempt from certain obligations, they do not apply to you under these Terms. For example, the United Nations enjoys certain legal immunities, and these Terms do not override them.

Limitation of Liability

We are not responsible for:

  • Loss of profits, revenue, business opportunities, goodwill, or anticipated savings

  • Indirect or consequential losses

  • Punitive damages

Unless otherwise stated, our total liability arising from or related to these Terms will be limited to:

  1. $500 USD or

  2. 125% of the fees paid for the services in the 12 months preceding the breach, whichever is higher.

Actions in Case of Issues

Before taking any action, we will make reasonable efforts to notify you, explaining the reasons and giving you the opportunity to resolve the issue, unless there are reasonable grounds to believe that:

  • It would pose a security risk or liability for users, third parties, or ourselves

  • It would violate laws or regulatory orders

  • It would interfere with an investigation

  • It would compromise the integrity or security of our service

Modification of the Service

We may modify part or all of the services for operational or technical reasons. In case of modifications, we will provide advance notice with the date and reasons for the change, along with relevant details, unless it is impossible to do so.

Temporary Suspension of the Service

We may temporarily suspend the service for technical or operational reasons, such as server overload, service updates, force majeure events, or management decisions. In such cases, we will notify users in advance whenever possible; however, in exceptional circumstances, notification may be given afterward.

Service suspension will be communicated through notices or other means.

If users experience losses due to a service suspension, we may offer compensation through appropriate means within the service, except in cases of force majeure (e.g., natural disasters), where no compensation will be provided.

Termination of Agreement and Usage Limitations

We may terminate a user's agreement and revoke their user status without prior notice in the following cases:

  • User’s death

  • Theft of third-party personal data or mobile devices, or a mismatch between the account owner and the user

  • False information provided during registration

  • Fraudulent or non-compliant use of the service, including using tools, hacking, or unauthorized device modifications

  • Actions that undermine the reliability of the service or disrupt other users

  • False statements that damage our company’s reputation or interfere with operations

  • Spam activity on the service

  • Other behaviors that violate these Terms or applicable laws

In these cases, any free resources in the user's "My" section will be revoked. In addition to account termination, we may implement other measures such as usage restrictions or account reviews.

Our Responsibilities

We are committed to providing a stable and evolving service while protecting users' personal data, including credit data, in compliance with our Privacy Policy. We will make reasonable efforts to respond to user opinions or complaints and notify users of the results via announcements or email.

User Obligations

Users must not:

  • Provide false information when making requests or modifications related to the service

  • Spread false information about the service

  • Dismantle, modify, or imitate the service

  • Violate our company’s intellectual property rights

  • Collect personal data from other users or harm their reputation

  • Send unauthorized advertisements or distribute obscene or violent content

  • Violate any obligations outlined in these Terms or commit illegal or illicit acts

If such actions are committed or attempted, we reserve the right to pursue legal responsibility, including claims for damages.

Limitation of Liability

These Terms do not limit our liability for fraud, fraudulent misrepresentations, or death or injury caused by our negligence. However, we will not be liable for:

  • (I) Loss of profit

  • (II) Loss of goodwill

  • (III) Loss of business opportunities

  • (IV) Loss of data

  • (V) Indirect or consequential losses

Any other liability will be limited to the amount paid in the last 12 months.

We are not responsible for:

  • Your reliance on the accuracy of advertisements or interactions with advertisers

  • Service modifications, temporary or permanent suspensions

  • Deletion, corruption, or failure to save content transmitted or stored on the service

  • Your failure to provide accurate account data or maintain account security

We are not liable for lost profits, reputation damage, business disruptions, or missed opportunities. We do not take responsibility for damages caused by failure to install free updates or failure to meet minimum system requirements.

These limitations apply regardless of whether we were aware of such potential losses.

You accept full responsibility for all applicable fees, including data and messaging charges for using the service. If you have concerns about charges, please check with your mobile provider before using the service.

To the extent permitted by law, any dispute with third parties arising from your use of the service—including disputes with operators, copyright holders, or other users—is solely between you and the third party, and you irrevocably release us from any known or unknown claims or damages arising from such disputes.

Other Provisions

These Terms and all associated rights and permissions cannot be transferred by the user, but SuperApp may assign them without restriction. This will not affect your rights as a consumer.

If you are dissatisfied, you always have the right to terminate this contract and stop using the platform at any time.

In short: We do not currently plan to do so, but if we ever sell or reorganize our business, the platform may be offered by a different company.

We reserve the right to reclaim usernames and make them available to others if:

  • A user has not accessed their account for 6 months or more

  • We reasonably believe the username violates these Terms or the Community Guidelines (e.g., if it infringes on a trademark)

In short: In certain situations, we may reclaim usernames.

If either party delays enforcing any provision of these Terms, this does not waive the right to enforce it later. A delay in taking action against a breach does not prevent us or the user from taking action in the future.

In short: The fact that a provision is not immediately enforced does not invalidate these Terms.
